About This Meeting

This session is intended for people who have a solid understanding of basic valuation issues, generally company insiders such as CEOs, CFOs, ESOP trustees, and members of the board of directors. One main topic is the impact of the repurchase obligation on ESOP valuations. A second main topic is the impact of second-stage minority-to-majority transactions on ESOP value. Topics include:
  • The repurchase obligation
  • Acquiring companies
  • Second-stage ESOP transactions (minority to majority ESOP ownership)
  • Transition between C and S corporation status
