In response to questions and comments from practitioners all over the U.S., the NCEO has developed these online seminars to focus on equity compensation plan administration—for administrators to ask questions, share ideas, and gain CEP continuing education hours. The Webinars take place once per month for one hour (1 CEP continuing education unit per hour) and discuss a hot topic.

About This Meeting

When it comes to equity compensation, small private companies often take a different approach than large public companies. These differences encompass everything from the types of equity vehicles used in long-term incentive programs to the eligibility of employees to participate in such programs. The presentation will focus on the practices of small private companies and the unique ways in which they differ from larger public companies. We will provide insight into both equity plan design and the legal issues facing small private organizations. Current practices in large companies that will likely become best practices for smaller ones will also be presented. Recently published results from the Culpepper Survey of equity compensation practices in over 180 technology companies, including over 80 small and privately-held companies, will be included in our discussion.

Presenters

William Parsons, CompWiser - Mr. Parsons brings a long history of working with human-capital intensive industries, serving as a Senior Consultant with Amalfi Consulting and a Senior Vice-President with compensation survey firm, Culpepper and Associates, Inc. His work with Amalfi Consulting focused primarily on executive and board compensation in community banks throughout the United States. As the Senior Vice-President of Research at Culpepper, he was responsible for all aspects of the company's employee compensation and benefits surveys.

William holds internationally recognized certifications in employee compensation, benefits and global remuneration from World at Work. He is a technical reviewer for World at Work and is published nationally in WorkSpan Magazine and various websites such as the National Association of Stock Plan Professionals (NASPP), and the National Center for Employee Ownership (NCEO).

Michael Stevens, Allston & Bird - Mike Stevens is a partner in the firm's Employee Benefits & Executive Compensation group. He concentrates his practice on executive compensation matters, with a particular emphasis on tax, securities, and corporate governance issues relating to incentive compensation arrangements, executive employment and change in control agreements and deferred compensation. Mr. Stevens frequently advises clients with respect to executive compensation issues relating to mergers and acquisitions and other corporate transactions. His clients include large multinational corporations, closely-held businesses and individual executives.

Mr. Stevens is a frequent speaker and writer on a variety of matters relating to executive compensation and securities aspects of benefit plans. He has served on the faculty of the Institute of Applied Management and Law and is a member of the National Association of Stock Plan Professionals.
