An ESOP can be a tool to make acquisitions easier, but it also adds some layers of complexity, and this Webinar explores the legal and fiduciary issues that must be part of any effective acquisition strategy. This webinar will also discuss the impact of the acquisition, plan its implementation, consider the impact on HR, benefits, and morale, and develop an approach to communications to respects both the need for confidentiality and employee buy-in.

Presenters will also discuss the various legal structures available for ESOP companies to use in acquisitions, including the situations in which those structures best fit. ESOP fiduciaries will also learn more about their role in the acquisition process, including situations in which those fiduciaries may have more than one "hat" at the company. 

You will learn:

  • Some of the impacts of an acquisition on current and future ESOP participants and what the company should consider in preparing projections about the impact of the acquisition.
  • Some of the practical issues involved in an acquisition, such as shareholder voting, harmonizing compensation and benefits, and integrating new employees into the culture.
  • How to consider the impact that the ESOP has on the decision to make an acquisition, including the transaction structures that are available to ESOP companies.
  • What the roles and duties of ESOP fiduciaries are (and are not) when the company is considering an acquisition.
