Many ESOP-owned companies undergo an annual stock valuation, often as of December 31. As the year-end 2025 valuation season begins, this session will provide insight into the key factors valuation firms consider when determining ESOP stock value. KSM’s Andy Manchir and Dan Roach will explore key company-specific items employees can review and prepare to discuss with the appraiser and trustee, along with external economic factors that may impact stock price this year. Attendees are encouraged to bring their questions for this interactive discussion.

Andy Manchir

Andy is a director in Katz, Sapper & Miller's Valuation and ESOP Services Groups. Andy helps clients understand the value of their business and advises them on succession planning options, including ESOP, third-party sales, or family transitions. He has extensive experience with feasibility studies for business owners considering an ESOP, ESOP structuring and financing, and valuations and opinions needed for ESOP formations, updates, and terminations. Additionally, Andy has performed business valuations for several other purposes, including valuations for estate and gift, mergers and acquisitions, and litigation support. He is an active member of the NCEO and the ESOP Association (TEA) and serves on TEA's Valuation Advisory Committee. Andy is a Certified Exit Planning Advisor (CEPA), an ASA (Accredited Senior Appraiser), and a Certified Management Accountant (CMA).

Dan Roach

Dan Roach is a senior analyst in Katz, Sapper & Miller’s Valuation Services Group. Dan provides information to help clients make informed business decisions through valuations for estate plans and gift programs, corporate mergers and acquisitions, financial reporting, employee stock ownership plans (ESOPs), and litigation support.

 

Prior to joining the firm, Dan served as an investment accounting supervisor for a fund administration firm in Indianapolis, where he performed general ledger, portfolio, and reporting functions for single-family office clients. He also assisted these family office clients with tax filings, audit requests, and wealth planning.
