David is a Partner and Chair of the Employee Benefits & Executive Compensation Practice Group at Bradley Arant Boult Cummings in Nashville. He advises clients on the design, implementation, and administration of qualified and nonqualified benefit plans, with extensive experience in employee stock ownership plans (ESOPs). David counsels plan sponsors, administrators, and fiduciaries on ERISA compliance, fiduciary duties, prohibited transactions, and trustee obligations. He also advises on executive compensation matters including deferred compensation arrangements, stock-based compensation, and Code Section 409A compliance. David has been recognized in Best Lawyers in America and holds a Martindale AV Preeminent rating. He earned his J.D. with High Honors from the University of Texas School of Law, where he served as Associate Editor of the Texas Law Review and was elected to the Order of the Coif.

Selling Shareholder Trusts Subject to ESOP Arbitration Award

Robertson v. Argent Trust Company et al., No. 2:21-cv-01711-DWL (D. Ariz. Feb. 20, 2026)

The plaintiffs in this case filed a lawsuit in 2021 alleging that the trustee of the company’s ESOP and certain individuals breached their fiduciary duties by overpaying for the company's stock. The trustee asserted that the plaintiff’s claims were subject to arbitration.
