EO Board Directors Peer Network

A Network for Employee Ownership Governance Members

The EO Board Directors Peer Network is a dedicated forum for individuals serving on the boards of employee-owned companies. This peer network brings together independent directors, employee-elected board members, and new or seasoned appointees to share insights, discuss governance challenges, and strengthen their board leadership in the unique context of employee ownership. Participants gain practical tools, peer perspectives, and guidance from governance experts to enhance fiduciary oversight, succession planning, executive compensation strategies, and ownership culture stewardship.

This group is all about peer learning and strategic problem-solving whether you’re navigating dual fiduciary and cultural responsibilities, improving board effectiveness, or aligning governance with long-term company strategy.

Structure of the Peer Network

The EO Board Directors Peer Network will meet up to six times a year for 90-minute online sessions designed for learning, discussion, and shared problem-solving. Each session typically includes:

  • Pre-read materials
  • 10 minutes: Introductions and top-of-mind issues
  • 20–30 minutes: Presentation or panel discussion
  • 30–60 minutes: Peer discussion, case exchange, or governance Q&A

Key Topics

  • Governance basics: board roles, meeting structures, fiduciary duties, committee responsibilities, EO-specific planning, and succession oversight
  • EO-specific issues: repurchase obligations, ESOP sustainability, trustee relationships, stock valuation, distributions, and fiduciary insurance
  • Board composition and function: onboarding, skill assessment, independent director engagement, board evaluations, CEO and executive evaluations, executive pay
  • Culture and strategy: aligning financial and cultural outcomes, strategic planning, leadership development, executive coaching, and succession transitions
  • Legal and regulatory awareness: DOL guidance, ERISA compliance, risk management, and governance frameworks
  • Technology: leveraging tools to enhance board operations, communication, and oversight

Topics may be led by NCEO staff, legal or governance experts, or peer presenters with deep EO board experience.

Intended Audience

This peer network is designed for board members actively serving employee-owned companies, including internal employee-owners, independent directors, and outside advisors. Both new and seasoned board members are welcome.

How to Join/Fees

The EO Board Directors Peer Network has an annual participation fee of $500, and space is intentionally limited to ensure a high-quality, small-group experience. Active NCEO membership is required. Fees are billed annually based on your month of enrollment.

To apply, simply submit the application form. Once received, we’ll follow up to confirm your acceptance, cohort placement (time and date), and provide your invoice.

This group is supported by NCEO staff and led by a leadership group from Directors serving employee-owned companies. The leadership group helps build content, find expert speakers, and facilitate meetings. The leadership group is chaired by Howard Kaplan (Kaplan Fiduciary), and supported by NCEO Staff.
